Galaxy Resources looks set to be making a bid for General Mining, its joint venture partner in the Mt Cattlin spodumene project.
Shares in both companies have been placed in a trading halt this morning with Galaxy referring to a “potential corporate transaction involving an acquisition” and General Mining citing a “potential corporate control transaction”.
The two companies struck a deal last year to restart mining at the mothballed Mt Cattlin spodumene project near Ravensthorpe.
Under the terms of a $25 million earn-in agreement between the two companies, General Mining qualified for an initial 14 per cent equity stake in the project and 50 per cent of its operating profit by acting as the project's operator.
General Mining recommenced mining operations at Mt Cattlin last month.
Last week, the two companies signed off on a binding offtake agreement for product from the project.
Discussions were continuing with another party for a separate offtake agreement.
General Mining is targeting throughput of at least 800,000 tonnes a year.
Galaxy has said first delivery of concentrate remains on target for July/August.
Mt Cattlin produced more than 100,000 tonnes of spodumene concentrate under Galaxy Resources between 2009 and 2012, before it was closed.
Spodumene is an important source of lithium, which is used in ceramics, glass, consumer electronics and long-life batteries used in hybrid and electric vehicles, as well as energy storage systems.
Lithium has become commodity du jour among investors in recent months on expectations of surging demand.
Galaxy shares last changed hands for 39.5 cents while General Mining last traded for 61.5 cents.

The best way to answer that would be to investigate what income can be expected based on what we know and using some worst case scenarios for a fair analysis.
It was said that James Bay was going to be a replication of Mt Cattlin. If that is true then they would aim to have a production rate of 200,000tpa of spodumene per annum from each.
Assuming that spodumene pricing doesn't shift from $600 per tonne that would give a pre-cost income of $240 million US.
By around this time, I would imagine that there would be a ramp up of Sal de Vida (not full rate production 25kpta) taking place which would be producing a final grade of product. Price wise at the moment depends who you ask. Current pricing in China is ranging between $15,000 to $20,000 plus according to Anthony Tse in his SMI video. I predict up to $35,000 to $40,000 per tonne.
Some factors which will affect the share price are:
How many shares are in the market.
Where is Sal De Vida up to?
Does the company return to the HKSE listing?
Has the company found a way to vertically integrate spodumene processing according to the Mitsubishi agreement.
Calculating the predicted market cap based on:
James Bay and Mt Cattlin are collaboratively producing 400,000tpa
No inclusion of Sal De Vida including speculative market sentiment.
Income based on 12.5% return before cost.
No increase in the spodumene price ($600 US)
Australian dollar still ranging close to 75c
No spodumene processor or including further acquisitions.
Market cap approximately: $2.8 billion dollars. (That's in AUD)

Galaxy looks to future after merger
Nick Evans - The West Australian on May 31, 2016, 2:00 am
Galaxy Resources chairman Martin Rowley says the lithium miner will waste no time in trying to capitalise on its $216 million tie-up with General Mining Corporation, saying the merged company will consider a Hong Kong listing and look to development options for its Canadian lithium projects.
Yesterday, Galaxy confirmed it had agreed to a friendly tie-up with its partner, offering 1.65 of its shares for each General Mining share on issue. That values General Mining’s half-share of the Mt Cattlin operation at $216 million, well above the $25 million the Michael Fotios-led General Mining agreed to last year for the right to return it to production.
Galaxy’s first attempt to develop Mt Cattlin, and an associated downstream lithium processing plant in China, ended in near disaster in 2013 when design and commissioning failures at the Chinese facility left Galaxy wallowing in debt and Mt Cattlin in mothballs.
General Mining has kicked in $7 million to restart the mine, but has not been required to make the remaining $18 million cash payments originally envisaged.
Mr Rowley said yesterday the eventual remerger of the asset was always part of Galaxy’s thinking, even before General Mining took control of Mt Cattlin’s recommissioning last year.
Mr Fotios ran Galaxy until 2008, and Mr Rowley said he wanted the dealmaker involved to return the asset to production as a pure-play lithium miner. Now the company has reached that stage, he said, a simplified structure would make Galaxy and Mt Cattlin more attractive to investors and well placed to cash in on the expected boom in lithium demand. It had near-term production from Mt Cattlin and earlier stage projects in Canada and South America.
The merger also leaves Galaxy as one of the few lithium miners not substantially owned by a downstream lithium player.
Mr Rowley, also an executive director of global base metals miner First Quantum, said he was open to the possibility of further deals.
“One of the things I’ve learned from building First Quantum up from zero to $15 billion is that there are opportunities, and you get lots of approaches. So we’ll keep that option open,” he said.
“I’ve been talking about whether we should have another listing in Hong Kong, specifically because the Chinese will be very interested in this structure. Whether we will do that I don’t know, but we’ll investigate it.”
Shares in Galaxy jumped 4.5¢ to 44¢, with General Mining up 9.5¢, or 15.5 per cent, to 71¢.
